ESC is developing a 1000MW HVDC transmission project, known as Empire State Connector, with an investment of $1.5bn.
As per the MOU, Invenergy will utilise the Empire State Connector transmission project to deliver competitively-priced renewable wind power into New York City through two submarine cables in the Erie Canal and the Hudson River.
The route has been designed to deliver minimal environmental and no visual impact.
ESC CEO John Douglas said: "Once our formal solicitation is completed this summer, we look forward to entering into binding service agreements with generators like Invenergy interested to capitalize on our proprietary low impact route.
"Our private sector solution will help New York State fund other important priorities like education and housing."
ESC said that Invenergy wind projects represent approximately $1.2bn of new economic development activity in upstate New York.
The New York State intends to generate 50% of total power from renewable sources by 2030.
Invenergy business development vice-president James Murphy said: "Upstate New York represents a viable and affordable solution for New York to achieve its Clean Energy Standard to become 50% renewable by 2030.
"Invenergy looks forward to making New York’s Clean Energy Standard a reality."
