Earlier this month, the company said it has received clearance from the Competition Bureau of Canada to acquire Cooper, an electrical components and tools manufacturer.

In May 2012, Eaton and Cooper had entered into a transaction agreement pursuant to which Eaton will buy Cooper through the formation of a new holding company incorporated in Ireland that will be renamed Eaton Corporation.

In connection with the acquisition, Eaton will merge with Turlock Corporation, a wholly owned subsidiary of Eaton.

The transaction, however, remains subject to other customary closing conditions, including certain additional regulatory clearances and approval by the shareholders of both Eaton and Cooper.
