Under the terms of the agreement, Zijin Mining and Thrive Build will acquire 1.5 billion ordinary shares of Gold Eagle.
Gold Eagle owns 100% interest in Tibet Tian Yuan Minerals Exploration, which owns the Tibet Xietongmen gold copper project.

Tibet Xietongmen gold copper project includes Xiongcun copper mine exploration permit and Laze copper mine exploration permit.
On completion of the transaction, Jinchuan HK will own 55% shareholding of Gold Eagle and Thrive Build will own 45% shareholding of Gold Eagle.
